ROVASI GENERAL CONDITIONS OF SALE-EXPORT.
Every order implies full acceptance by the buyer of present General Conditions of Sale.
- Prices: Prices shall be those applicable at the date of receipt of the order, applying agreed
discounts. A specific quotation must be sought for custom-made and specially executed
products. The validity period of any quotation will no exceed 90 days.
- Minimum order: EUR. 60 will be added to all orders of amount less than EUR. 600 for packing
and paperwork expenses purpose.
- Payment: The due date on the invoice is fix. Late payments will be subject to an 8% interest
charge. If the purchaser fails to make any payment when due in accordance with this General
Conditions of Sale, ROVASI, S.L. reserves the right, in its absolute discretion, to suspend all
further deliveries until such payment has been made in full.
- Samples: All samples of materials must be requested by means of an order and shall be
invoiced. When returned, they shall be credited in full unless damaged or modified.
- Delivery terms: Unless stated to the contrary in the Purchaser’s order and accepted by
ROVASI S.L. all times or dates for delivery of the goods are given in good faith but are
approximate only and shall not be the essence of the contract. ROVASI S.L. shall not be liable
for any loss or damage howsoever suffered by the Buyer, as a result of such delay.
- Delivery place: The place of delivery of the material ordered and thus that of the associated
sale, is always deemed to our factory or storage facility (Ex works).
- Transport: Unless agreement is reached to the contrary, carriage shall always be borne by the
purchaser. Goods thereafter travel at the purchaser’s own risk even in case where are
despatched on carriage paid basis (CPT).
- Quality: ROVASI S.L. is continually working to improve and update its products. It therefore
reserves the right to change, withdraw or expand its products without prior notice and without
this giving rise to the right to make any form of claim or complaint.
We will supply products with usual production tolerances. All pictures, drawing weights and
dimensions in the ROVASI S.L. catalogue are as general description only and are not part of
any contract.
- Returns of goods: It will be only accepted returns previously allowed by ROVASI.SL. The
return of goods will be requested by written and accepting the following conditions:
Goods will travel at the purchaser’s own risk and expense.
The relevant goods must not be damaged in any way.
To all returned material received in perfect conditions ROVASI, SL will apply the following
deduction:
Return of goods after 15 days of delivery. 15%.
Return of goods after 30 days of delivery. 20%.
Return of goods after 45 days of delivery. 30%.
Return of goods after 60 days of delivery. 40%.
Return of goods after 75 days of delivery. 50%.
In case of damage, it will be also applied corresponding deduction of goods.
No returned goods will be accepted after 75 days of the delivery of goods.
- Claims: ROVASI, S.L. will not accept any claim due mistakes in quality, quantity and reference,
etc. after 15 days of reception of goods.
Under no circumstances, buyer cannot delay in any case the payment of the invoice.
- Warranty: All ROVASI S.L. products carry a warranty of six months from the date of purchase.
During this period any product which does not work properly due to manufacturing faults shall
be replaced free of charge. ROVASI S.L. shall not be liable for any damages, loss of profit or
goodwill nor for any special, indirect, economic or consequential loss nor in respect of any
claims by third parties in respect of non-delivery, delay in delivery or of defects in the nature of
or the quality of any goods supplied by ROVASI S.L or any services provided by ROVASI S.L.
nor shall ROVASI S.L. indemnify the buyer against any such claims.
- Reservation of title: ROVASI S.L. reserves title over all the goods it supplies until the
purchaser has paid for them in full.
- Jurisdiction: In the case of any disagreement or dispute over these General Conditions of
Sale, both parties, expressly waiving any other jurisdiction, submit themselves to the authority of
the Courts and Tribunals of the city of Barcelona.
